These Terms of Service ("Terms") govern your access to and use of the Critical website at onecritical.com and related services (the "Services"), operated by Critical LLC ("Critical", "we", "us", or "our"). By using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. The Services

Critical is a physician locum tenens staffing platform. We help physicians discover locum assignments and help healthcare facilities find qualified providers. We are not a medical provider, employer of physicians, or party to the professional services contract between a physician and a facility. Placement is subject to credentialing, verification, and facility requirements.

2. Eligibility and Account Registration

You must be at least 18 years old and legally able to enter into binding contracts to use the Services. You agree to provide accurate, current, and complete information when creating an account and to keep that information up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. One account per user.

3. SMS Messaging Terms

By providing your mobile phone number in our login or signup form, you expressly consent to receive account authentication messages from Critical, including one-time verification passcodes (OTP) used to log in to your account.

• Message frequency: varies by account activity — typically 1–2 messages per login attempt.
• Cost: message and data rates may apply. Critical does not charge for these messages; check with your mobile carrier for applicable charges.
• Opt-out: reply STOP to any message to unsubscribe.
• Help: reply HELP for assistance, or email contact@onecritical.com.
• No third-party sharing: we do not share your mobile number or opt-in consent with third parties for marketing.
• Carrier disclaimer: supported carriers include AT&T, Verizon, T-Mobile, and other major US carriers. Carriers are not liable for delayed or undelivered messages.

4. User Responsibilities

You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not:

• Misrepresent your identity, credentials, or professional qualifications;
• Submit false or misleading information on your profile or application;
• Attempt to access another user's account or circumvent security;
• Scrape, copy, or reuse content from the Services without permission;
• Use the Services to harass, harm, or defraud others.

5. Physician Credentialing

If you are a physician or advanced practice provider, you represent and warrant that you hold all professional licenses, certifications, and credentials you list on your profile, that they are current and in good standing, and that you are legally authorized to practice in the locations where you seek placement. You are responsible for maintaining and renewing your credentials and for notifying Critical promptly of any changes to your licensing status.

6. Fees and Payments

Use of the platform is currently free for physicians. Facilities are billed for placements under a separate written agreement. We reserve the right to modify fees or introduce new pricing with reasonable advance notice.

7. Intellectual Property

The Services, including all content, design, logos, trademarks, and software, are the property of Critical LLC or its licensors and are protected by intellectual property laws. You may not use our trademarks or copyrighted material without our prior written consent.

8. No Guarantees

While we work diligently to match physicians with opportunities, we do not guarantee placement, specific compensation rates, or assignment duration. All rates shown are estimates and may vary based on credentials, location, specialty, and facility requirements. The Services are provided "as is" and "as available" without warranties of any kind, express or implied.

9. Limitation of Liability

To the maximum extent permitted by law, Critical LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or relating to your use of the Services. Our total aggregate liability for any claim arising from these Terms or the Services shall not exceed one hundred US dollars ($100) or the amount you paid to Critical in the twelve months preceding the claim, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless Critical LLC from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violations of these Terms. You may stop using the Services and close your account at any time by contacting us.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services shall be brought exclusively in the state or federal courts located in Clark County, Nevada, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the site. Your continued use of the Services after the revised Terms take effect constitutes your acceptance of the changes.
